IMPORTANT- PLEASE READ BEFORE CLICKING “I ACCEPT”

The Samsung B2B Hackathon (the “Challenge”) is sponsored and administered by Samsung Electronics America, 85 Challenger Rd, Ridgefield Park, NJ 07660 (“Samsung”). By participating in this Challenge, participants agree to be bound by these Challenge Terms and Conditions as well as all decisions of the judges and Samsung which are final and binding on all aspects of the Challenge.

By participating in this Challenge, you acknowledge and agree that if you share an idea, suggestion, or discuss an application concept that you are working on, Samsung Parties (as defined below) and others may use your idea, suggestion or concept and incorporate into an application that they are working on now or in the future, and you waive any and all claims that you may have against Samsung or anyone participating in this Challenge and Samsung may use or incorporate into an application or other service or product, any idea, suggestion, or concept that you mention.

Eligibility: Challenge is open to legal residents of the fifty (50) United States and the District of Columbia, who are 18 years of age or older and registered attendees of the Samsung B2B Hackathon (“Event”), scheduled to take place at Thinkspace,1700 Westlake Ave N Suite 200, Seattle, WA from November 14th, 2019 to November 17th, 2019 (the “Challenge Period”). Employees, officers and directors of Samsung, its respective successors, participating partners, award suppliers and advertising and promotion agencies, and each of their respective subsidiaries, affiliates, agents, representatives, officers, directors, shareholders and employees (collectively, “Samsung Parties”), and each of their immediate family members (spouse and parents, children and siblings, and their respective spouses, regardless of where they live) and individuals living in the same households of each of these individuals, whether related or not, of the above are eligible to participate in the Event but are not eligible to win or receive an award in the Challenge. Subject to all applicable laws.

How to Participate: Participants who have registered for the Challenge at https://www.samsung.com/us/business/about-us/business-events/enterprise-appdev-launchpad/ prior to 5:00 p.m. on November 14, 2019 may compete individually or within a team of up to five (5) participants (“Team”). During the Challenge Period, each participant/Team will receive resources from Samsung and have the opportunity to hack and build on the development of Samsung specific enterprise solutions built and designed using Samsung’s mobility platform and ecosystem (each, a “Solution”). Participants/Teams can solve for a Solution in one (1) of the following five (5) categories; (i) finance; (ii) manufacturing; (iii) retail; (iv) public safety; or (v) healthcare (each, a “Category”). The hardware and software made available to participants will be unique to Samsung and have its key platform differentiators as integral parts of the overall Solution. The Solutions will solve vertical specific real world problems. Participants/Teams will:

1. Present their Solutions to judges Sunday (Day 3 of the Event) at approximately 12:30 p.m. for preliminary judging

2. Have two (2) minutes to present their Solution;

3. All Solutions must be built from scratch at the Event;

4. Judges will use the criteria below to identify the top ten (10) finalists;

5. Finalists will then have up to five (5) minutes to pitch their Solution to the Event audience;

6. Judges will use the criteria below to identify the award recipients for the 1st Place Award, Most Innovative Implementation Award, Best Use of Samsung Ecosystem Award, and Most Original/Inventive UX/UI Award.

Judging Criteria: Solutions will be judged by a panel of judges consisting of Samsung employees and industry leaders who will review Solutions and select finalists based upon Samsung’s APIs and the following criteria:

(i) Quality of pitch/presentation: Is the pitch itself high quality, providing sufficient information and presented in an effective manner? (20%);
(ii) Quality of solution: Does the Team have a clear understanding of the problem they are trying to solve? Does their Solution address the problem they have set out to solve? (20%)
(iii) Originality and creativity: Is the application, service, or idea being pitched innovative, creative and disruptive to its targeted industry or market? (20%);
(iv) Likelihood of success: How likely is the application, service, or idea being pitched to succeed in the marketplace? (20%); and
(v) Working app/prototype: Is there a working app or prototype? (20%).

The potential award recipients will be identified and notified of their selection on Sunday (Day 3 of the Event) at approximately 2:30pm and may be required to sign and provide to Samsung a Declaration of Eligibility and any/all appropriate documents to establish eligibility and compliance with these Terms and Conditions, and such other agreements, forms and releases as may be necessary to give effect to these Terms and Conditions or as may be required by the Samsung Parties. Participants must be present at the award ceremony at the Event to be eligible for an award. Failure of a potential award recipient to respond to award notification at the award ceremony may result in the applicable award being forfeited and award to a runner-up.

Awards: The following awards will be awarded in connection with the Challenge:

1st Place Award (1): A Notebook 9 Pro, a Note 10, a Galaxy Tab S6, and a 32” SR75 4K UHD Space Monitor. Approximate Retail Value (“ARV”) of award package: $2,392.85 per team member.

Most Innovative Implementation Award (1): A Galaxy Watch and a pair of Galaxy buds. ARV: $235.93 per team member.

Best Use of Samsung Ecosystem Award (1): A pair of Galaxy buds. ARV: $235.93 per team member.

Most Original/Inventive UX/UI Award (1): A pair of Galaxy buds. ARV: $235.93 per team member.

Total ARV of awards: $15,503.20.

In the event a Team is determined an award recipient, the Team leader will be responsible for distributing the prize(s) amongst the respective Team. Award recipients are solely responsible for any and all federal, state, and local taxes payable in connection with an award.

Licenses: Participants will retain ownership of their Solution, however, participation in the Challenge shall constitute and signify each participant’s agreement to grant Samsung Parties and their respective affiliates, licensees, promotional partners, developers, legal representatives, assigns, agents and licensees a perpetual, worldwide, royalty-free, non-exclusive, sub-licensable, unconditional and transferable license to edit, modify, cut, rearrange, add to, delete from, reproduce, encode, store, modify, copy, transmit, publish, post, display, adapt, exhibit and/or otherwise use or reuse (without limitation as to when or to the number of times used) any Solution in connection with the Challenge for promotional, advertising or other purposes, worldwide, in any and all media now known or hereafter devised, including the Internet or other public events, without limitation and without further payment, notification, permission or other consideration, except where prohibited by law. Participants authorize Samsung to use their name, voice, likeness, biographical data, city and state of residence, Solution materials, and recordings of their activity or participation at the Event in programming or promotional material, worldwide in perpetuity, including at the Event or other public events or on an award recipient's list, if applicable, all without further compensation unless prohibited by law. Except as expressly provided herein, nothing in these Terms and Conditions may be construed as transferring any rights of ownership, by implication or otherwise, technology or intellectual property. Samsung is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Samsung’s sole discretion, without further obligation or compensation.

General Conditions/Indemnification: By participating in the Challenge, participants warrant and represent that they are (or their Team is) the sole creator of the Solution and that they have obtained permission from any/all persons or intellectual property owners whose materials, likeness, work or mark are depicted in Solution and all permission necessary for Samsung to publish or use their Solution in any media worldwide and agree to confirm any of the foregoing in writing. Further, by participating in this Challenge and/or by accepting any award, participants agree that Samsung and its parents, affiliates, subsidiaries, officers, directors, employees, successors, representatives and assigns shall not be liable for any and all actions, claims, including any third party claims arising from or relating to the Challenge, or the acceptance or use of any award, or any travel or activity related to any of them. By participating in the Challenge and/or accepting any award, participants agree to fully indemnify the Samsung Parties from any and all such claims by third parties without limitation.

Acknowledgements: Each participant understands and acknowledges that: (a) Samsung Parties have access to ideas, stories, designs, film, tape, video, and other literary materials, and those new ideas are constantly being submitted to it or being developed by their own employees; (b) many ideas, concepts or technologies may be competitive with, similar to, or identical to content in the Solution and/or each other; (c) participants will not be entitled to any compensation as a result of Samsung Parties' use of any such similar or identical material that has or may come to the Samsung Parties, or any of them, from other sources. Except where prohibited by law, each participant acknowledges and agrees that the Samsung Parties do not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the participant’s rights in and to the Solutions. Finally, each participant acknowledges that, with respect to any claim by an participant relating to or arising out of any Samsung Parties' actual or alleged exploitation or use of any Solution or other material submitted in connection with the Challenge, the damage, if any, caused to the applicable participant will not be irreparable or otherwise sufficient to entitle such participant to seek any injunctive or other equitable relief or in any way enjoin, otherwise interfere with, delay, or interrupt the production, distribution, exhibition, or other exploitation of any production based on, or allegedly based on, the Solution, and participant’s rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.

Disputes: Except where prohibited by law, entrants agree that any and all disputes, claims and causes of action arising out of, or connected with, the Challenge or any award provided shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the State of New York, USA. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, your rights and obligations, or the rights and obligations of Sponsor in connection with the Challenge, shall be governed by, and construed in accordance with, the laws of the State of New York, USA, without giving effect to any choice of law or conflict of law rules (whether of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York ,USA.
